The Core Idea

Your brand is an asset. Your operations are a risk. Never let them live in the same entity.

Most founders build one company that does everything: owns the name, signs the contracts, holds the bank account, and takes on the liability. If anything goes wrong in that business, everything sits in the blast radius — including the brand itself.

What a parent company does

The parent company owns the things that don't touch daily risk: the trademarks, the trade name, the logo, the software, the formulas, the content library, the client list template — the intellectual property. It never signs a lease, never hires staff, never delivers the product. It licenses the right to use the brand to one or more operating companies through a written agreement, usually in exchange for a royalty or licensing fee.

What that protects you from

    Cross-contamination between businesses. If you run two brands and one gets sued, a shared parent-company structure keeps the other insulated instead of exposed as 'the same company.'

    Loss of the brand itself. If the operating company is ever sued into the ground, the name, trademark, and IP sitting in the parent company survive it — you can license them to a new operating entity and keep going.

    An unclear paper trail. Courts look for real separation — contracts, royalties, separate books. A licensing agreement between parent and operating company is the paper trail that makes the separation real, not just claimed.

The Sequence

How the structure gets built, in order

Each step depends on the one before it — this is why structuring is a sequence, not a checklist you can do out of order.

    Form the parent company

    A separate legal entity is formed to sit above your operating business — typically the entity type your attorney recommends for parent companies in your state.

  2. 02

    Move the IP and the brand into it

    Trademarks, trade names, logos, domains, proprietary processes, and content are assigned or registered in the name of the parent company — not the operating company.

  3. 03

    Draft the licensing agreement

    A written contract defines exactly what the operating company is allowed to use, the royalty or fee owed to the parent, and what happens if the agreement ends.

    Sign and formalize

    The operating company signs the agreement and begins paying the licensing fee — creating the real operational and paper separation between the two entities.

1.Description of Services

RL Global Enterprise Co. ("we," "us," "our") provides business structuring guidance, brand and intellectual property licensing document preparation, and related business consulting services. Our services are informational and administrative in nature and are not legal, tax, or financial advice.

2.Not a Law Firm

RL Global Enterprise Co. is not a law firm, and no attorney-client relationship is created by your use of our services. Nothing on this site or in our deliverables should be interpreted as legal advice. You are responsible for engaging your own attorney and CPA to review your entity structure, licensing agreements, and tax positioning.

3.Payment

Fees are processed by Stripe. All fees for one-time engagements are due at purchase. Recurring Management Fees are billed monthly in advance until cancelled in accordance with Section 3 of our Refund & Dispute Policy.

4.Refunds and Cancellations

Refunds, cancellations, and disputes are governed by our Refund & Dispute Policy, which is incorporated into these Terms by reference.

5.Intellectual Property

The RL Global Enterprise Co. name, logo, and all content on this website are owned by RL Global Enterprise Co. Client deliverables prepared for you (such as your licensing agreements) become your property upon full payment, excluding any underlying proprietary templates, frameworks, and methodologies, which remain our property.

6.Client Responsibilities

You agree to provide accurate information; to make required filings with state and federal agencies (including formation filings and USPTO submissions); and to maintain corporate formalities (separate bank accounts, separate books, executed agreements, and royalty payments) after we deliver your structure.

7.Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or our services is limited to the amount you paid us for the specific engagement giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special damages, including but not limited to a court disregarding your entity structure, "piercing the corporate veil," or any judgment against your operating or parent company.

8.Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. The parties agree to attempt to resolve any dispute through good-faith negotiation first. If negotiation fails, disputes shall be brought exclusively in the state or federal courts located in Wyoming.

9.Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance.

1.Information We Collect

We collect: contact details (name, email, phone) you provide when reaching out or purchasing; business information you share for structuring (entity names, states of formation, brand assets); payment information, which is processed by Stripe and not stored on our systems; and basic site analytics (page views, referrers, device type).

2.How We Use It

We use collected information to deliver our services, communicate with you about your engagement, process payments and prevent fraud, and improve the site and our offerings.

3.How We Share It

We share information only with service providers required to run our business (such as Stripe for payments and email providers for communication). We do not sell your personal information.

4.Data Retention

We retain client records for the period required to support ongoing engagements, to comply with tax and business record-keeping obligations, and to defend against legal claims.

5.Your Rights

You may request access to, correction of, or deletion of your personal information by emailing info@rlglobalenterprise.com. Some records may be retained where required by law.

6.Security

Payment security relies on Stripe's PCI-compliant infrastructure. We do not store full card numbers. We use standard administrative and technical safeguards to protect client information.

Refund & Dispute Policy

Have a question about a charge?Email info@rlglobalenterprise.com with your order number before opening a dispute with your bank — most issues are resolved faster this way.

1.Refund Eligibility

You may request a full refund within 5 days of purchase, provided drafting work on your engagement has not yet begun. If drafting has started but deliverables have not been delivered, a partial refund may be issued based on work completed. After deliverables are delivered, engagement fees are non-refundable. Government filing fees, state formation fees, and USPTO fees are non-refundable once submitted to the relevant agency.

2.How to Request a Refund

Email info@rlglobalenterprise.com with your order number and reason for the request. We respond within 1–2 business days. Approved refunds are issued to the original payment method within 5–10 business days.

3.Cancelling the Management Fee

You may cancel the Management Fee at any time before your next billing date by emailing us. No refund is issued for the current billing period; cancellation takes effect at the end of the paid period.

4.Chargebacks and Payment Disputes

Please contact us before opening a chargeback with your bank. We will respond to any chargeback with delivery records, correspondence, and this policy. Filing a chargeback for services delivered per our written scope may result in the account being closed and outstanding balances referred for collection.
